Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and Holipay regarding your access to and use of the Holipay website, applications, and related services (collectively, the “Service”).

By accessing or using the Service, creating an account, clicking to accept, or continuing to use the Service after changes are posted, you agree to these Terms and our Privacy Policy and Cookie Policy. If you do not agree, do not use the Service.

Holipay operates a travel comparison and cashback information service. We help you discover and compare offers from independent third-party airlines, agencies, and other providers (“Providers”).

Holipay is not a travel agency, airline, tour operator, merchant of record, reseller, or ticket seller. We do not issue tickets, vouchers, or travel contracts. We do not take payment for flights or other travel products sold by Providers. Any purchase you make is solely between you and the Provider on that Provider’s own site or platform.

Nothing in the Service creates a partnership, joint venture, employment, or agency relationship between you and Holipay, or between Holipay and any Provider, except as expressly stated in a separate written agreement (if any) with Holipay.

You must be legally capable of entering into a binding contract in your place of residence to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You are solely responsible for complying with all laws that apply to you, including travel, export, sanctions, tax, and consumer rules in your jurisdiction.

Some features require an account. You agree to provide accurate information, keep your credentials confidential, and promptly update details that affect cashback or communications. You are responsible for all activity under your account.

We may refuse registration, suspend, restrict, or terminate accounts at any time, with or without notice, including where we suspect fraud, abuse, chargebacks related to Partner tracking, violation of these Terms, or risk to Holipay, Providers, or other users.

You agree not to:

• Use the Service for any unlawful, harmful, deceptive, or abusive purpose
• Scrape, harvest, reverse engineer, or overload the Service, or bypass rate limits or access controls
• Interfere with tracking, attribution, cookies, links, or cashback verification mechanisms
• Create fake bookings, self-referrals, or artificial traffic to obtain cashback
• Misrepresent your identity, affiliation, or booking status
• Copy, frame, or commercially exploit Holipay content or branding without prior written permission
• Use automated systems in a way that harms the Service or Providers

We may monitor use of the Service for security, fraud prevention, and enforcement of these Terms.

When you leave Holipay to view or complete a booking, you enter a separate contractual relationship with that Provider. Their terms, privacy practices, prices, taxes, fees, baggage rules, schedules, cancellations, refunds, and customer support apply, not Holipay’s.

Holipay does not control and is not responsible for Provider websites, apps, inventory, fulfillment, customer service, delays, cancellations, denied boarding, lost baggage, injuries, property damage, or any other travel outcome.

All complaints, refunds, changes, and claims about a booking must be directed to the Provider (or the payment method you used with them), not to Holipay.

Fares, availability, schedules, cashback rates, and other information on the Service are provided for convenience and may be incomplete, delayed, or incorrect. Providers and data sources change content frequently. You must verify all details on the Provider’s official checkout before paying.

Holipay does not warrant that any displayed price or cashback amount will be available when you book, or that a booking will earn cashback.

Holipay may offer promotional cashback or similar rewards (“Cashback”) in connection with qualifying actions tracked through our links or Partner programs. Cashback is a discretionary promotional benefit, not wages, a deposit account, interest, or a guaranteed rebate.

Without limiting the foregoing:

• Eligibility, rates, timing, currency, and payout methods may change at any time
• Cashback typically depends on completed, non-cancelled, non-fraudulent bookings validated by Partners and Holipay
• Pending Cashback is not earned until we confirm it as available
• We may delay, withhold, reverse, claw back, or cancel Cashback for cancellations, no-shows, refunds, chargebacks, tracking failures, suspected abuse, or Partner non-payment
• Minimum withdrawal thresholds, identity or payout verification, and processing times may apply
• You are responsible for any taxes arising from Cashback you receive
• We may modify or discontinue the Cashback program in whole or in part at any time

If Partner commissions are not paid or are clawed back, Holipay has no obligation to pay or maintain related Cashback.

The Service, including its design, text, graphics, logos, software, and trademarks, is owned by Holipay or its licensors and is protected by intellectual property laws. You receive a limited, revocable, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

You may not use Holipay marks in a way that suggests endorsement or affiliation without prior written consent.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOLIPAY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Holipay does not warrant uninterrupted or error-free operation, that defects will be corrected, or that the Service is free of harmful components. Your use of third-party sites is at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOLIPAY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES; ARISING OUT OF OR RELATED TO THE SERVICE, THESE TERMS, THIRD-PARTY BOOKINGS, OR CASHBACK, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOLIPAY’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL CASHBACK ACTUALLY PAID TO YOU BY HOLIPAY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) FIFTY US DOLLARS (USD $50) OR THE EQUIVALENT IN LOCAL CURRENCY.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law. Nothing in these Terms excludes liability that cannot be excluded by law.

You agree to defend, indemnify, and hold harmless Holipay and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your bookings or dealings with Providers; (c) your violation of these Terms or applicable law; (d) your fraud or misuse of Cashback; or (e) any dispute between you and a Provider or other third party.

Holipay is not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, epidemics, government actions, power or internet failures, or failures of Providers or third-party networks.

You may stop using the Service at any time. We may suspend or terminate access to the Service or Cashback features immediately if we believe you have violated these Terms or created risk for Holipay or others. Provisions that by their nature should survive (including disclaimers, limitations, indemnity, and Cashback clawback rights) will survive termination.

We may change, suspend, or discontinue any part of the Service at any time. We may update these Terms by posting a revised version with an updated date. Continued use after changes constitutes acceptance. If you do not agree, you must stop using the Service.

These Terms are governed by applicable laws, without regard to conflict of law principles that would require another jurisdiction’s laws. You agree to first attempt to resolve any dispute informally by contacting us through our Contact page.

To the extent permitted by law, you and Holipay agree that disputes will be brought only on an individual basis, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

Nothing in these Terms limits non-waivable consumer rights you may have under the mandatory laws of your country of residence.

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, merger, or transfer of assets. These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and Holipay regarding the Service and supersede prior agreements on that subject.
